Vinted Go Refer-a-Partner Program — Advocate Terms and Conditions

These Refer-a-Partner Program Terms and Conditions (the “Terms”) govern your participation as an advocate in the Vinted Go Refer-a-Partner Program (the “Program”). The Program is operated by Vinted Go Inc., a company registered in the State of Delaware under file number 10287806 (“Vinted Go”, “we”, “us” or “our”) and is made available through a referral platform provided by Extole, Inc. (“Extole”) at https://vintedgo.com/en/become-a-partner (the “Site”). Rewards are fulfilled through a third-party disbursement provider. Please read these Terms carefully.

Binding Agreement

By registering for, accessing or participating in the Program, you agree to be bound by these Terms. If you do not agree, do not participate.

The version of these Terms that applies to a given referral is the version in effect at the time that referral is made — that is, when the Referred Partner first clicks your Personal Link and the referral is created and tracked (the “Referral Date”).

We may update these Terms and the offer from time to time. The "Last updated" date above indicates when they were last revised, and you are responsible for reviewing the current version. Our decisions regarding the Program are final and binding to the fullest extent permitted by law.

I. The Offer (Reward Amount and Qualification)

The specific details of the current offer—including the reward amount, the qualification requirements, the Qualification Period, the Referral Window, when Rewards are paid and any applicable limits—are set out below (the “Offer Details”). The Offer Details form part of these Terms.

If the Offer Details and the rest of these Terms conflict on the reward amount, qualifying event, Referral Window or Qualification Period, the Offer Details prevail.

Offer Details

  • Reward Amount: $100 per Qualified Referral.
  • Qualifying Event: The Referred Partner signs a Vinted Go partner contract, is onboarded and activated as a Vinted Go partner, and remains an active Vinted Go partner throughout and at the end of the Qualification Period.
  • Referral Window: 12 months from the Referral Date.
  • Qualification Period: 1 month following partner activation.
  • When Rewards are Paid: Within 30 days after the end of the Qualification Period, subject to verification.
  • Annual Limit: $2,000 in Rewards per calendar year.
  • Form of Reward: Visa prepaid card, gift card, or another available payout option fulfilled by Tango Card, Inc.

We may test, change, add or withdraw offers (including different reward amounts and different qualification timeframes) at our discretion.

The reward amount and conditions that apply to a given referral are those stated in the Offer Details in effect on the Referral Date for that referral (the date the Referred Partner first clicks your Personal Link and the referral is created).

A later change to an offer applies only to referrals made on or after the change takes effect. It does not reduce the reward for a referral already made and does not affect any Reward you have already earned. Each referral is tracked separately and locked to the offer in effect on its own Referral Date.

II. How the Program Works

Eligibility

To participate as an advocate (an “Advocate”) you must:

  • Be a legal resident of the United States.
  • Be at least 18 years old.
  • Be registered for the Program on the Site.

Employees, contractors and agents of Vinted Go and its affiliates, Extole, and the disbursement provider are not eligible to participate as Advocates.

Referring

Once you register for the Program you will receive a unique referral link (your “Personal Link”).

To make a referral, share your Personal Link with a prospective Vinted Go partner (a “Referred Partner”). You should share your Personal Link yourself in a personal manner.

Referrals are tracked through your unique advocate code associated with your Personal Link.

Qualified Referral

A referral becomes a Qualified Referral, and the Reward becomes earned, only when all of the following occur:

  1. The Referred Partner clicks your Personal Link and registers with Vinted Go.
  2. The Referred Partner signs a Vinted Go partner contract and is onboarded and activated as a Vinted Go partner within the Referral Window described above.
  3. The Referred Partner remains an active Vinted Go partner throughout, and at the end of, the applicable Qualification Period.

If the Referred Partner does not become an active Vinted Go partner within the Referral Window, no Reward is earned.

If the Referred Partner is not still active at the end of the Qualification Period, no Reward is earned and you will be notified accordingly.

The Qualification Period determines whether a Reward is earned. The amount of the Reward is the amount fixed on the Referral Date under the applicable Offer Details.

The Referred Partner must be a genuine new prospective partner. You may not refer yourself, existing Vinted Go partners, or accounts you control.

The determination of whether a referral is a Qualified Referral is made by us using data provided by Extole and the disbursement provider and is final.

Our Discretion Over Partners

Whether to accept, onboard and activate any Referred Partner is entirely at our sole discretion, and we are under no obligation to do so.

We may decline to onboard a Referred Partner for any reason, including business reasons such as:

  • We do not operate in the relevant region.
  • We already have sufficient partner coverage in that area.
  • The prospective partner's opening hours, accessibility, location or other characteristics do not meet our requirements.

If a Referred Partner is not onboarded and activated within the Referral Window, no Reward is earned.

A Referred Partner who becomes eligible only after the referral was made will generate a Reward only if onboarding, activation and all other Offer Details are completed within the Referral Window. We are under no obligation to onboard a Referred Partner after the Referral Window expires.

One Reward Per Partner

Only one Reward is payable for any given Referred Partner.

If multiple Advocates refer the same prospective partner, only the first referral we successfully track (the earliest Referral Date) is eligible for a Reward.

No Reward is payable where the prospective partner:

  • Is already a Vinted Go partner.
  • Is already known to us.
  • Is already in our sales pipeline.
  • Is acquired through another channel, including paid media, marketing campaigns or direct outreach.

If a prospective partner contacts us directly or signs up without using your Personal Link so that the referral cannot be tracked to you, the referral is not considered a Qualified Referral and no Reward is earned.

III. Rewards

Advocate-Only Rewards

Rewards under the Program are payable to Advocates only, unless otherwise stated in the Offer Details.

Referred Partners do not receive any monetary reward for being referred. Any welcome materials provided to a Referred Partner are offered at our sole discretion and are not part of the Reward.

Earning a Reward

For each Qualified Referral, you will earn the Reward stated in the Offer Details that were in effect on that referral's Referral Date, subject to the annual limit described below.

Once a Reward has been earned, we will notify you and arrange fulfilment within the timeframe specified in the Offer Details.

Annual Limit

You may earn a maximum of $2,000 in Rewards per calendar year through the Program, unless a different limit is specified in the applicable Offer Details.

We may cap, prorate or refuse Rewards that exceed this annual limit.

Reward Fulfilment

Rewards are fulfilled by a third-party disbursement provider, currently Tango Card, Inc.

The form of the Reward (for example, a Visa prepaid card, gift card, or another available payout option) and its redemption process are described in the applicable Offer Details and remain subject to the terms and conditions of the disbursement provider and any applicable card issuer.

Rewards have no cash value except where required by applicable law, are non-transferable, and may not be auctioned, traded, bartered or sold.

We reserve the right to substitute a Reward with another Reward of equivalent value.

Verification and Timing

All Rewards are subject to verification.

We may delay fulfilment of a Reward while investigating a referral and may refuse or revoke a Reward if:

  • The referral does not qualify.
  • These Terms have been violated.
  • Fraud, abuse or other improper activity is suspected.

IV. Taxes

You are solely responsible for any taxes arising from your receipt of a Reward.

Depending on the total value of Rewards you receive and applicable law, we, Extole or the disbursement provider may be required to collect tax information from you, including an IRS Form W-9, and may report Rewards to tax authorities or issue tax documentation such as an IRS Form 1099.

We or the disbursement provider may withhold or delay a Reward until all required and valid tax information has been provided.

Nothing contained in these Terms constitutes tax advice. You are responsible for consulting your own tax adviser regarding any tax consequences resulting from your participation in the Program.

V. Disclosure of Your Participation (Endorsement Rules)

Because you may receive a Reward for referring others, U.S. Federal Trade Commission (FTC) endorsement guidance requires you to clearly and conspicuously disclose your participation in the Program whenever you share your Personal Link or otherwise promote Vinted Go.

This requirement applies to all forms of communication, including but not limited to:

  • Private messages
  • Email
  • Social media posts
  • Blogs
  • Websites
  • Online communities

Your disclosure must be easy to notice, clear and understandable.

For example:

"I may receive a reward if you sign up through my link."

You must not make false, misleading or unsubstantiated statements about Vinted Go, its products or its services.

Any statements you make must represent your honest opinions and experiences.

You are solely responsible for ensuring that your promotional activities comply with all applicable laws and with the rules of any platform where you share your Personal Link.

VI. Acceptable Use, Anti-Fraud and Anti-Spam

You must participate in the Program in good faith and use your Personal Link only in a genuine, personal manner.

You must not:

  • Create multiple, fictitious, fake or duplicate accounts.
  • Refer yourself or businesses, accounts or partners that you own or control.
  • Use bots, scripts, macros or any automated method to generate referrals or Rewards.
  • Tamper with, interfere with or attempt to manipulate the Program, the Site or the referral tracking process.
  • Distribute your Personal Link through unsolicited bulk messaging, spam or communications that violate applicable anti-spam laws, including the CAN-SPAM Act.
  • Provide another person's contact information unless you have the appropriate permission to do so.
  • Use the Program to violate any law.
  • Infringe the rights of any third party.
  • Engage in activity that is deceptive, fraudulent, harmful, abusive, obscene, harassing or otherwise inconsistent with the intended purpose of the Program.

You are considered the sender of every message that you distribute using your Personal Link and are responsible for ensuring that those communications comply with all applicable laws.

Although we may monitor activity within the Program, we are under no obligation to do so.

If we reasonably determine that you have violated these Terms or engaged in fraud, abuse or misuse of the Program, we may:

  • Disqualify your participation.
  • Withhold pending Rewards.
  • Revoke previously approved Rewards where permitted.
  • Suspend your participation.
  • Terminate your participation in the Program.

Deliberate attempts to interfere with the legitimate operation of the Program may violate criminal and civil laws. We reserve the right to pursue all available legal remedies to the fullest extent permitted by law.

VII. Privacy

We process personal data, including your name, email address, referral information and referral tracking data, for the purpose of operating the Program.

Extole and the third-party disbursement provider process personal data on our behalf or as necessary to fulfil Rewards.

Our collection and use of personal data in connection with the Program are described in the applicable Vinted Go Privacy Notice, available on the Site.

Referral tracking technologies, including referral links, cookies, pixels and tags, may be used as described in that Privacy Notice.

VIII. Changes, Suspension and Termination of the Program

We reserve the right to modify, suspend or terminate the Program, or any offer available through the Program, in whole or in part, at any time and for any reason, and to change these Terms on a going-forward basis.

We may set a date on which the Program (or an offer) closes. If the Program or an offer closes, referrals with a Referral Date on or after the closing date will not earn a Reward. Referrals with a Referral Date before the closing date will still be honored in accordance with these Terms.

No change to the Program or these Terms will reduce or withdraw a Reward that you have already earned through a Qualified Referral before the change became effective.

We may disqualify any Advocate who does not comply with these Terms.

IX. Disclaimer of Warranties

THE PROGRAM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE AND THE RELEASED PARTIES (DEFINED BELOW) DISCLAIM ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

WE MAKE NO WARRANTY THAT THE PROGRAM WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE.

X. Limitation of Liability and Release

Released Parties

For the purposes of these Terms, the "Released Parties" include:

  • Vinted Go;
  • Its parent companies, affiliates and subsidiaries;
  • Extole, Inc., as the referral platform provider;
  • The third-party disbursement provider;
  • The respective employees, directors, officers, shareholders, licensees, licensors and agents of each of the foregoing.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE RELEASED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH THE PROGRAM.

TO THE FULLEST EXTENT PERMITTED BY LAW, THE TOTAL LIABILITY OF THE RELEASED PARTIES ARISING OUT OF OR RELATING TO THE PROGRAM SHALL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

You agree to defend, indemnify and hold harmless the Released Parties from and against any claims, damages, losses, liabilities, costs and expenses, including reasonable attorneys' fees, arising out of or relating to:

  • Your participation in the Program;
  • Your sharing of your Personal Link;
  • Your communications with Referred Partners;
  • Your breach of these Terms; or
  • Your violation of any applicable law, including anti-spam or endorsement disclosure laws.

XI. General

These Terms, together with the referenced Privacy Notice, constitute the entire agreement between you and Vinted Go regarding the Program.

If any provision of these Terms is determined to be unenforceable, the remaining provisions shall remain in full force and effect.

Our failure to enforce any provision of these Terms shall not constitute a waiver of that provision or of any other provision.

These Terms are governed by the laws of the State of Delaware.

The Program is void where prohibited.
